Terms of Service

These Terms of Service ("Terms") govern your use of the Qonvor platform and services ("Service"), operated by Space Lab Apps Pty Ltd ("we", "us", or "our"), an Australian company. By accessing or using our Service, you agree to be bound by these Terms.

1. Service Description

Qonvor provides an AI-powered chat assistant platform designed for WooCommerce stores. The Service includes a WordPress plugin that connects to our hosted backend API, enabling features such as AI text chat, voice chat, knowledge base management, and customer engagement tools.

2. Account Registration

To use the paid features of the Service, you must create an account by providing a valid email address and shop name. You are responsible for maintaining the confidentiality of your API token and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

3. Subscriptions and Billing

  • Paid plans are billed monthly via Stripe. Prices are in USD and exclude applicable taxes (VAT/GST).
  • Your subscription renews automatically each billing period unless cancelled.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • No refunds are provided for partial billing periods, except as required by applicable law.
  • We reserve the right to change pricing with 30 days' notice. Existing subscriptions will not be affected until renewal.

4. Free Plan

The free plan provides a rules-based chat engine that runs entirely within your WordPress installation. It does not require an account or connection to our backend. No guarantees of availability or support are provided for the free plan.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit spam, malware, or harmful content.
  • Exceed reasonable usage limits or abuse API endpoints.
  • Resell or redistribute the Service without our written consent.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We process data necessary to provide the Service, including shop product data, customer chat messages, and usage metrics. You are responsible for ensuring your use of the Service complies with applicable data protection laws, including obtaining any necessary consents from your customers.

7. Intellectual Property

The Service, including its software, design, and documentation, is owned by Space Lab Apps Pty Ltd and protected by intellectual property laws. You retain ownership of your shop data and content. By using the Service, you grant us a limited licence to process your data solely to provide the Service.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Space Lab Apps Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Space Lab Apps Pty Ltd from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of Australia.
